A role defined accurately, transaction by transaction
MRD Investment Group does not hold a single fixed role across all transactions. In each engagement, our capacity is stated plainly, agreed with the parties and reflected in the documentation.
Capacity
How MRD may engage
MRD may act in any of the capacities below, in each case only where it is accurate for that transaction. We do not describe ourselves in a capacity we do not hold.
Principal
Where MRD contracts in its own name for a specific transaction, and only where that is factually the case and documented as such.
Strategic Partner
Where MRD works alongside a counterparty on a defined basis, with the scope, duration and limits of that arrangement set out in writing.
Facilitator
Where MRD assists parties in progressing a transaction through qualification, structure and coordination, without holding authority over either party.
Representative
Where MRD is formally appointed by a party for a defined purpose, within the scope of that written appointment and nothing beyond it.
Intermediary
Where MRD introduces and supports parties on defined commercial terms, without representing either party's authority as its own.
Coordinator
Where MRD supports scheduling, documentation flow, communication and process discipline between parties and their advisors.
Limits
No implied authority
Engagement with MRD Investment Group does not imply that MRD holds a mandate, appointment, agency, allocation or authority in respect of any producer, supplier, refiner, financial institution or other party, unless that authority has been expressly granted in writing and is confirmed to the relevant counterparty.
MRD does not act as a bank, licensed broker-dealer, investment adviser, securities intermediary or money transmitter, and does not provide legal, tax, accounting, investment or financial advice. Each party is responsible for obtaining its own professional advice.
Commercial terms, fees and responsibilities applicable to any role are addressed in writing between the parties before a transaction progresses to contracting.
